Bylaw Revisions

HPNA Board of Directors proposes the following bylaw revisions. These revisions will be voted on by membership at the Annual Membership Meeting to be held on Saturday, January 24, 2004, at 5:45 pm at the Pointe Hilton Tapatio Cliffs Resort, Phoenix, AZ.

 

Proposed revisions:

 

ARTICLE V Board of Directors

Section 2. Eligibility. All [strikeout text: elected] directors shall be voting members of the association.

 

ARTICLE VI Officers

Section 1. Composition. Officers shall be President, [strikeout text: Vice President], President-Elect. [strikeout text: Secretary], [strikeout text: and]Secretary-Treasurer, and Past President.

 

Section 5. Duties. B. [strikeout text: Vice President:]President Elect:

 

The [strikeout text: Vice-President]President-elect shall, in the absence of the President, perform the duties and exercise the powers of the President and shall perform such other duties as the Board may prescribe.

[strikeout text: The Secretary shall record all votes and the minutes of all proceedings. The Secretary shall give, or cause to be given, notice of all meetings of the Board and shall perform such other duties as may be prescribed by the Board or the President.]

 

C. Secretary/Treasurer:

 

The Secretary/Treasurer shall record all votes and minutes of all proceedings and have the custody of all funds and securities of HPNA. In addition, the Secretary/Treasurer shall keep full the accurate account of receipts and disbursement of HPNA. The Secretary/Treasurer shall render to the Board, whenever they may require, an account of all transactions and of all financial conditions of HPNA and shall perform such other duties as the Board or President may prescribe.

Past-President shall chair the Nominating Committee and perform other duties as the Board or President may prescribe.

 

Section 6. Vacancies.

 

A. In the event a vacancy occurs in the office of President, the [strikeout text: Vice] President-elect shall succeed to the office of President for the remainder of the term, and the office of [strikeout text: Vice-]President-Elect shall remain vacant.

 

B. Should a vacancy occur in the office of both President and [strikeout text: Vice-]President-elect, the Board shall appoint a President pro term for the remainder of the term.

 

 

ARTICLE VII COMMITTEES

Section 4. Executive Committee. The Executive Committee shall consist of the [strikeout text: officers of the Board], President, President-elect, Secretary/Treasurer, Chairpersons of the Education/Research Committee and the Professional Relations Committee. The Past-President may participate in meetings, as a non-voting member, of the Executive Committee upon the request of the president. The duty of the Executive Committee shall be to conduct any necessary business between regular meetings of the Board. Minutes of all Executive Committee meetings will be presented at the next meeting of the Board. A Quorum of the Executive Committee shall be [strikeout text: three (3)]four (4) members.

 

Section 5. Nominating Committee. The Nominating Committee shall consist of five (5) voting members. The Nominating Committee shall solicit members to be candidates for the office of director, prepare a ballot, present this ballot to the voting members, oversee the election and the reporting of its outcome, and such other duties as determined by the Board. The Nominating Committee Chairperson is [strikeout text: appointed by the Board]the Past-President and is responsible for securing membership on the committee.

Pros for proposed changes:

 

1. Establishes President-elect position which provides opportunity to this individual to be mentored prior to assuming Presidency and clearly identifies Board's leadership for the subsequent year (both for internal and external audiences)

 

2. Establishes Past-President position which provides opportunity for Past-President to remain active on the Board for one year and to provide historical context and mentorship for President-elect.

 

 

Cons for proposed changes:

 

1. Limits President's term to one year. HPNA Board Presidents have been elected annually by the Board and terms have ranged from 1 to 3 years.

HPNA Election Results

The Board of Directors of HPNA is pleased to announce the results of recent elections. Elected to second 3-year terms are Pam Fordham, RN, DSN, NP-C, CRNP from Springville, AL and Janet Snapp, RN, MSN, CHPN, OCN from Lexington, KY. Elected to her first 3-year term is Nancy Harte, RN, MSN, CHPN(R) of Brookfield, IL. All terms begin January 1, 2004.

 

SPEAKER'S BUREAU APPLICATIONS

We are now accepting applications for 2004-2005 Speaker's Bureau. All active members are eligible. Applicants will be judged on the applicant's experience, references, and proposed presentations. Applications can be downloaded from the Web site at http://www.hpna.org or can be obtained by calling the National Office at 412-787-9301. The deadline is December 1, 2003. Faxed or e-mailed applications will not be accepted.

 

Once approved, your name and approved topics will be listed on our Web site. Approval for topics is for 2 years. Those interested in having you speak would contact the National Office. We would obtain their information and pass it along to you to make final arrangements. You would also agree to an honorarium of not more than $250, plus expenses, for a single presentation up to 1 hour. When the request is for other presentations beyond the approved presentation(s), the fee would also be negotiated directly and should reflect your usual fees.

 

The Professional Relations Committee will review your application. Following final board approval in January 2004, you will be notified of approval outcome.
